Terms of Service
These Terms of Service (“Terms”) govern access to and use of Vidii (the “Service”), provided by Auxilii Technovations Private Limited (“Auxilii”, “we”, “us”). These Terms apply to the school / institution purchasing or using Vidii (“School”, “you”, “your”) and to authorised users acting on the School’s behalf.
By purchasing, accessing, or using Vidii, you agree to these Terms.
1) Definitions
• “Service” / “Vidii”: the Vidii app and related services, including AI-assisted features where enabled.
• “School Data”: data entered into Vidii by the School or its authorised users (including operational records and uploads).
• “Authorised Users”: people the School invites or permits to access Vidii (owners, principals, staff, teachers, reception/admin, parents where enabled).
• “Plan”: the subscription/licence purchased for Vidii, as described on the pricing page and/or invoice.
• “Branch”: a school branch/campus covered under a Plan.
• “Academic Session”: the School’s academic year/session period covered by the Plan.
2) Who can use Vidii
Vidii is intended for schools and their Authorised Users. The School is responsible for:
• Ensuring only Authorised Users access the Service
• Assigning roles and permissions appropriately
• Ensuring use is for legitimate school operations
Parents and job-seekers may submit requests through Vidii to be added by the School. Access is only granted after School approval (where applicable).
3) Account access and responsibility
• Vidii uses Phone OTP login. The School and Authorised Users must keep their devices and access secure.
• The School is responsible for all activity performed by its Authorised Users, including actions taken through School-admin accounts.
• The School will promptly notify Auxilii of any suspected unauthorised access or security incident.
4) Licence and scope of use
Subject to these Terms and payment of fees, Auxilii grants the School a limited, non-exclusive, non-transferable, revocable licence to access and use Vidii:
• For the selected Branch(es)
• For the Academic Session covered by the Plan
• For legitimate school operations
The licence does not permit resale, sublicensing, or commercial exploitation of Vidii outside the School’s own operations.
5) Plans, pricing, payments, and taxes
Plan structure
Vidii is sold as an annual licence per branch per academic session, unless stated otherwise on the pricing page or invoice.
Payments
• Payments are processed via Razorpay (or other methods stated on your invoice).
• Applicable taxes (including GST) may be charged as per law and shown on your invoice/receipt.
• The School is responsible for timely payments and accurate billing details.
Renewals
If renewals are offered, renewal terms and fees (if any) will be communicated before the next Academic Session.
6) Onboarding and School responsibilities
The School is responsible for:
• Providing correct School details during onboarding (including UDISE where applicable)
• Assigning roles and controlling access within the School
• Maintaining accurate records entered into Vidii
• Training staff as needed for proper use
• Ensuring lawful collection and entry of student/parent information into Vidii
Auxilii may require basic verification before enabling full onboarding.
7) Acceptable use
The School agrees not to (and will ensure Authorised Users do not):
• Use Vidii to create, upload, or transmit unlawful, abusive, defamatory, hateful, harassing, or misleading content
• Send spam or run bulk messaging in a way that disrupts the Service or recipients
• Attempt to bypass security, probe vulnerabilities, or access data outside permitted roles
• Upload malware, harmful code, or attempt denial-of-service behaviour
• Use automated scripts/bots in a way that harms performance, stability, or other users
• Reverse engineer, decompile, copy, or attempt to extract source code or proprietary logic except where permitted by applicable law
• Misrepresent identity, impersonate others, or create fraudulent accounts/records
8) AI-assisted features (VidiiChat)
Where enabled:
• Vidii may offer AI-assisted features, including VidiiChat under fair-use in eligible plans.
• Auxilii may apply rate limits and safeguards to prevent spam or misuse.
• Where AI credits apply, credits are used only for AI work actions (writing/rewriting/generating). Normal app usage does not consume credits.
The School remains responsible for reviewing and approving outputs before using them operationally, especially where they may affect students, parents, or staff.
9) School Data and content
• The School owns or controls School Data and is responsible for its accuracy, quality, and legality.
• Auxilii does not verify every record or decision created inside Vidii.
• The School must ensure it has the necessary permissions/authority to upload and manage student/parent/staff information in the Service.
10) Privacy and data protection
Auxilii processes personal data in accordance with the Vidii Privacy Policy available at vidii.io/privacy-policy (or the applicable policy URL). The School agrees to inform Authorised Users of the Privacy Policy and applicable School policies.
11) Service availability, changes, and support
• We aim to keep Vidii reliable and available, but downtime may occur due to maintenance, upgrades, or factors outside our control (internet outages, third-party failures, force majeure events).
• We may add, modify, or remove features, including for security, legal compliance, or product improvement.

We will make reasonable efforts to minimise disruption.
12) Suspension and termination
Suspension by Auxilii
We may suspend or restrict access (fully or partially) if we reasonably believe there is:
• Misuse or violation of these Terms
• A security risk or threat to the Service
• Legal or compliance requirement to do so
• Repeated payment failures or unresolved billing issues
We may attempt to notify the School unless doing so would compromise security or compliance.
Termination by the School
The School may stop using the Service at any time by contacting us. Stopping use does not automatically create a refund.
Effect of termination
Upon termination/expiry, access may end at the end of the Plan period or earlier where needed for security/legal reasons. Data retention/deletion follows the Privacy Policy and the School’s configured session rules.
13) Disclaimers
Vidii is provided on an “as is” and “as available” basis. We do not guarantee:
• Uninterrupted or error-free operation
• That Vidii will match every School’s internal workflow without configuration
• That outputs (including AI outputs) are always correct or suitable without review
14) Limitation of liability
To the extent permitted by law:
• Auxilii is not liable for indirect, incidental, special, consequential, or punitive damages (including loss of profits, goodwill, data, or business interruption) arising from use of the Service.
• Auxilii’s total liability for claims relating to the Service will not exceed the fees paid by the School for the affected Branch for the relevant Academic Session, unless applicable law requires otherwise.
Nothing in these Terms limits liability that cannot be limited under Indian law.
15) Governing law and jurisdiction
These Terms are governed by the laws of India. Any disputes are subject to the exclusive jurisdiction of the competent courts in Sagwara, District Dungarpur, Rajasthan (Udaipur Division), India.
16) Changes to these Terms
We may update these Terms from time to time. When we do, we will publish the updated Terms and update the Effective date. Continued use of the Service after the updated Terms are published means you accept the updated Terms.
